Professional Mediation Agreement between Khabiry Consulting and the Expert
Khabiry Consulting is a limited liability company governed by Moroccan law, headquartered at 46 Rue Zerktouni, 3rd floor, Apartment No. 6, registered in the Casablanca Commercial Register under number: 567405, legally represented by Mr. Brahim Ennabihi.
Khabiry: A digital platform that facilitates communication between experts and clients in various fields, providing the latest modern technologies to allow clients to book online sessions with top experts, enabling them to receive personalized advice and answers to their issues with just a few clicks.
Khabiry Consulting offers top experts across various fields (digital marketing – personal coaching – finance – e-commerce – real estate – law – entrepreneurship, etc.). The platform connects experts with clients through Khabiry Meet, a video consultation system.
Definition of Terms
Expert: An expert is an individual recognized as a source of knowledge in a specific field. The expert is a trusted professional with in-depth knowledge in their domain, possessing expertise beyond that of an average worker in the same field. This is the quality of expertise that Khabiry strives to provide to its loyal customers.
Client: Any individual or legal entity who purchases one or more consultation sessions through the Khabiry platform, selecting an expert provided by the company to receive guidance, consultations, and continuous support for their issues.
Article 1: General Terms of the Agreement
1.1 Parties to the Agreement
Between: Khabiry Consulting, a limited liability company governed by Moroccan law, headquartered at 46 Rue Zerktouni, 3rd floor, Apartment No. 6, registered in the Casablanca Commercial Register under number: 567405, legally represented by Mr. Brahim Ennabihi.
(Referred to as "Khabiry Platform")
And: The Expert, the service provider (Referred to as "the Expert").
By agreeing to register as an expert on the Khabiry Platform, both parties consent to the general terms of this electronic contract, under the following conditions:
1.2 Purpose of the Agreement
This agreement establishes the general mediation conditions between:
- The Company (Khabiry Consulting)
- The Expert
- The Client
Additionally, this contract outlines the essential terms for joining Khabiry, its policies, how expert services are displayed, how to comply with the contract, how changes or terminations occur, how disputes are resolved, and other important information.
Article 2: Expert’s Responsibilities
2.1 Expert Definition
- The expert is a recognized professional with expertise in a specific field, possessing superior knowledge compared to an average worker in the same field.
- Khabiry Consulting ensures that clients receive reliable and high-quality expertise.
2.2 Expert’s Independent Status
- The expert is not an employee, worker, or partner of Khabiry.
- The expert operates independently and uses the platform to market and sell their knowledge, experiences, and expertise within their specialization.
2.3 Professional Obligations
- Upon signing this agreement, the expert must provide their availability schedule and commit to offering consultations during these times.
- The expert must conduct consultations at the scheduled time with integrity, professionalism, and neutrality.
- The expert must conduct consultations in a professional environment suitable for online consulting.
2.4 Prohibited Conduct
- Experts are strictly prohibited from:
- Smoking, eating, or playing music during consultations.
- Requesting personal information from clients.
- Providing consultations outside their area of expertise.
- Engaging in any behavior that damages Khabiry’s reputation.
- Establishing direct professional relationships with clients outside the platform.
2.5 Liability & Compensation
- The expert is responsible for any damage caused to Khabiry’s reputation and must compensate for any harm incurred.
- The expert must provide the necessary digital tools to conduct consultations. Khabiry is not liable for technical issues on the expert’s side.
- If an expert fails to sell services within 30 days of joining, Khabiry reserves the right to terminate the contract without prior notice.
Article 3: Consultation Sessions
- The expert must update their availability before selling consultation sessions.
- Once sessions are sold, Khabiry notifies the expert via email.
- The expert must join the consultation session at the scheduled time using the provided link.
- Rescheduling of booked sessions is not allowed, except upon the client’s request.
- Late arrival tolerance is 10 minutes.
- Absence results in a refund to the client.
- Three absences lead to contract termination.
Article 4: Khabiry’s Responsibilities
- 4.1 Khabiry is the first Arab-African digital platform connecting experts with clients in various fields, offering cutting-edge technology for seamless online consultations.
- 4.2 Khabiry facilitates communication between experts and clients in optimal conditions.
- 4.3 Khabiry is not liable for any damages resulting from client reliance on expert advice.
- 4.4 Khabiry reserves the right to modify any part of the platform or contract as needed.
Article 5: Financial Terms
5.1 General Provisions
- Expert fees are set individually and expressed in Moroccan Dirhams or US Dollars.
- Khabiry charges a 35% commission on each consultation sold.
- Consultation discounts of up to 25% may apply.
- Expert payments are processed on the 20th of each month, based on the previous month’s completed consultations.
5.2 Bank Account Requirements
- Experts must provide an accurate professional bank account number and bank branch details.
- Incorrect or incomplete information may delay payments.
- Experts must have a professional bank account (company or self-employed status).
5.3 Payment Terms
- Payments are only made via bank transfer; cash or check payments are not allowed.
- Experts must issue invoices after each payment.
Article 6: Personal Data Protection
- Khabiry processes personal data legally and transparently, in accordance with Moroccan law No. 09.08.
- Khabiry is responsible for protecting and managing expert and client data.
Article 7: Intellectual Property Rights
- All content and brand assets of Khabiry (logo, design, platform, videos, etc.) are legally protected.
- Experts cannot use, copy, or exploit Khabiry’s intellectual property without permission.
Article 8: Contract Enforcement
- By clicking "I have read and accept the terms and expert policy," the expert legally agrees to this contract.
- This electronic contract holds the same validity as a traditional paper agreement.
Article 9: Dispute Resolution
- This contract is governed by Moroccan law.
- Any dispute should be resolved amicably first.
- If unresolved, parties must attempt mediation/arbitration before legal action.
- Khabiry must be notified in writing before any legal proceedings.
Article 10: Access to Khabiry Platform
- Khabiry reserves the right to modify or temporarily disable the platform for updates.
- Khabiry can adjust its services based on technological developments.
Article 11: Conclusion
- Experts must read this contract carefully before accepting its terms.
- Acceptance of this contract constitutes a full agreement to abide by its conditions.
